By accessing or using the Telewer platform (“Platform”) and its services (“Services”) to create Telegram bots, you (“User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). Please read these Terms carefully. They contain important information about your rights, obligations, and limitations of liability when using Telewer. If you do not agree to these Terms, you must not use our Services.

1. Acceptance of Terms

By registering for an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. These Terms constitute a legally binding agreement between you and Telewer and govern your use of the Platform and Services.

2. User Responsibilities, Ownership, and Conduct

Telewer provides a Platform that enables Users to create Telegram bots. You understand and agree that Telewer does not control, monitor, or endorse the content, actions, or behavior of bots created by Users. As the creator of a bot, you are solely responsible for:

  • Bot Content and Actions: You retain full and exclusive responsibility for all aspects of your bot, including its actions, content, behavior, and any consequences arising from its operation. This includes ensuring your bot operates in compliance with Telegram’s Terms of Service and all applicable laws.
  • Lawful and Ethical Use: You warrant that all content generated, shared, or transmitted by your bot will be lawful, ethical, and compliant with all applicable laws, regulations, and third-party rights. You must not use your bot for any illegal, harmful, or unethical activities, including but not limited to:
    • Spamming or sending unsolicited messages.
    • Distributing malware or harmful software.
    • Infringing intellectual property rights.
    • Defaming, harassing, or abusing others.
    • Promoting illegal activities.
    • Collecting personal data without consent.
  • Intellectual Property: You own all intellectual property rights in and to the bots you create, including the content and configuration. However, you are responsible for ensuring that your bot’s content does not infringe upon the intellectual property rights of any third party.
  • Account Security: You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify Telewer immediately of any unauthorized access or suspected security breach.

2.1. Acceptable Use Policy (AUP)

You agree to adhere to this Acceptable Use Policy when using the Services. You are prohibited from using the Platform to create bots that generate, promote, or distribute content that falls into the following categories (“Prohibited Content”):

  • Illegal Content: Content that violates any applicable local, national, or international laws or regulations.
  • Gambling: Content that promotes or facilitates online gambling, casinos, sports betting, or any lottery or wagering activity, unless explicitly permitted by applicable law and with appropriate licensing.
  • Pornography and Sexually Explicit Material: Content that is obscene, pornographic, or sexually explicit, or that exploits, abuses, or endangers children.
  • Firearms, Weapons, and Ammunition: Content that promotes, facilitates the sale of, or provides instructions for the creation or use of firearms, weapons, ammunition, or related accessories.
  • Violence and Terrorism: Content that promotes violence, incites hatred, or promotes terrorist activities, or glorifies or encourages violence against individuals, groups, or property.
  • Hate Speech: Content that promotes discrimination, incites hatred, or disparages individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
  • Drugs and Controlled Substances: Content that promotes or facilitates the sale or use of illegal drugs or controlled substances.
  • Harmful or Malicious Content: Content that is designed to deceive, defraud, or cause harm, including malware, viruses, phishing schemes, or other malicious software.
  • Personal Information without Consent: Collecting or distributing personal information of individuals without their explicit consent, in violation of applicable data protection laws.

Telewer reserves the right to determine, in its sole discretion, whether bot content violates this AUP.

Consequences of Violating the AUP:

In the event that Telewer determines, in its sole discretion, that a bot violates this Acceptable Use Policy, Telewer reserves the right to take immediate action, including but not limited to:

  • Suspension of Account: Temporarily suspending your account and access to the Services.
  • Termination of Account: Permanently terminating your account and access to the Services.
  • Deletion of Bot and Data: Deleting the bot and all associated data, as per Section 3.
  • Reporting to Authorities: Reporting illegal content or activities to law enforcement or relevant authorities, as required by law.

You agree that Telewer shall not be held liable for any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to your bot’s actions, content, behavior, or your breach of these Terms, including this Acceptable Use Policy.

3. Payment, Subscription, and Data Retention

Telewer operates as a paid subscription service. Access to certain features, tools, or the creation and operation of bots requires a valid subscription.

  • Subscription Terms: Subscription fees, billing cycles, and available plans are detailed on our pricing page. By subscribing to a plan, you agree to pay the applicable fees as per the chosen plan and billing cycle.
  • Payment Terms: Payments are due in advance according to your subscription cycle. Telewer reserves the right to modify subscription fees with 7 days’ notice. Failure to make timely payments may result in suspension or termination of your Services.
  • Service Modifications and Termination: Telewer reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. In the event of service termination by Telewer without cause, a pro-rata refund of any prepaid subscription fees may be provided at Telewer’s discretion.
  • Data Retention and Deletion:
    • Active Subscriptions: While your subscription is active and in good standing, Telewer will retain bot data, including configurations and conversation logs, to provide the Services.
    • Suspension for Non-Payment: If payments are not received on time, Telewer may suspend access to your bots and Services. During suspension, data may be retained for a grace period of [Number] days, after which permanent deletion may occur.
    • Bot Deletion or Account Termination: If you delete a bot or your account is terminated (either by you or Telewer), all data associated with the bot and account, including conversations, images, configurations, and personal data, will be permanently deleted from our servers. Data cannot be retrieved once deletion is complete. It is your responsibility to back up any data you wish to retain before deletion or termination.

4. Disclaimer of Warranties and Limitation of Liability

  • Service “As Is”: The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Telewer does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • No Liability for Bot Actions: Telewer explicitly disclaims any and all liability for the actions, behavior, content, or consequences of any bots created using the Platform. You acknowledge that you are solely responsible for your bots and their operation.
  • Limitation of Liability: To the maximum extent permitted by applicable law, Telewer, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (v) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services; and/or (vi) bot behavior or user interactions with bots created on the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
  • Indemnification: You agree to indemnify, defend, and hold harmless Telewer and its affiliates, officers, directors, employees, consultants, licensors, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or your bot’s) violation of these Terms, your use of the Services, your bot’s content or actions, or your violation of any rights of another.

5. Compliance with Laws and Law Enforcement Requests

You agree to use the Services and operate your bots in full compliance with all applicable local, national, and international laws and regulations, including but not limited to laws related to data privacy, intellectual property, and online conduct.

Telewer may be required by law to disclose certain information about bot creators and their activities. You acknowledge and agree that Telewer will cooperate with law enforcement and other governmental authorities and will provide any reasonably available information in response to valid legal requests, subpoenas, or court orders, in accordance with applicable laws and our Privacy Policy.

6. Account Termination and Suspension

Telewer, at its sole discretion, reserves the right to suspend, disable, or terminate your account and access to the Services, with or without notice, for any reason, including but not limited to the following:

  • Breach of Terms: Violation of these Terms and Conditions, including the Acceptable Use Policy in Section 2.1.
  • Unlawful or Harmful Activity: Engaging in any activity that Telewer deems unlawful, harmful, unethical, or inappropriate, or that could damage the reputation or operation of Telewer or the Services.
  • Non-Payment: Failure to make timely payments for subscription fees.
  • Abuse of Services: Excessive use of resources or any activity that disrupts or interferes with the Services or other users’ access.

Upon termination, your access to the Services will be immediately revoked, and all bot-related data may be deleted as per Section 3. Telewer shall not be liable to you or any third party for any termination of your account or access to the Services.

7. Modifications to Terms and Services

Telewer reserves the right to modify, amend, or update these Terms and Conditions at any time, for any reason, at its sole discretion. We will provide reasonable notice of material changes, such as by posting the updated Terms on the Platform and updating the “Last Updated” date at the top of this document, and/or by sending an email to the address associated with your account.

Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the updated Terms and Conditions and agreement to be bound by them. If you do not agree to the revised Terms, you must stop using the Services. It is your responsibility to review these Terms periodically for changes.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Telewer concerning the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Telewer.
  • Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms, in whole or in part, without Telewer’s prior written consent. Telewer may assign its rights and obligations under these Terms at any time without notice.
  • Force Majeure: Telewer shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Telewer’s reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemic, strike, or shortages of transportation facilities, fuel, energy, labor or materials.
